1. Who We Are and Acceptance of Terms

ClauseFlow is operated by Nikhil Rathee (sole proprietor), Maman Vihar, Bahadurgarh, District Jhajjar, Haryana 124507, India. "ClauseFlow", "we" and "us" mean Nikhil Rathee trading as ClauseFlow. By accessing or using ClauseFlow, you agree to be bound by these Terms of Service. If you disagree with any part of the terms, you must not access the service. These terms apply to all visitors, users, and others who access or use the service.

2. Use License and Restrictions

Subject to your compliance with these Terms, ClauseFlow grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the platform for your professional legal practice.

You agree not to:

• Use the service for any unlawful purpose.
• Attempt to reverse engineer, decompile, or hack the service or any related AI models.
• Automate queries or scrape data from the service without explicit written permission.
• Share your account credentials with unauthorized individuals outside your registered organizational tier.

3. User Responsibilities and Accuracy

AI-generated content can contain errors, misinterpretations, or "hallucinations" (fictitious legal citations). You explicitly agree that:

• You will independently verify all legal citations, quotes, propositions, and case law references provided by the service against primary authoritative sources (e.g., official court reporters, Indian Kanoon, SCC Online).
• You will not file, serve, or publish any document generated by ClauseFlow without independent professional review by a qualified legal practitioner.
• ClauseFlow is not liable for court rejections, adverse judgments, or professional disciplinary actions arising from unverified AI output.

4. Intellectual Property

The service and its original content (excluding content provided by you), features, and functionality are and will remain the exclusive property of ClauseFlow and its licensors. The legal frameworks and templates inherently provided are proprietary formats. However, you retain full ownership of the final specific output documents you generate and edit using your own facts and context.

5. Plans, Credits and Payments

Paid plans are paid in advance for the period you choose and do not renew automatically. Credit packs, top-ups and pay-per-draft purchases are one-time payments. Prices are in Indian rupees and the amount shown before you pay is the total payable. ClauseFlow is not registered under GST at present, so no GST is charged; your receipt is the payment record in your billing history. Payments are processed by our payment gateway; we do not see or store your card or bank details. Credits are held while work runs and are charged only when the result is delivered; credits for work that fails are released. We may change prices for future purchases with reasonable notice; a change never affects a purchase already made. Refunds and cancellations are governed by our Refund & Cancellation Policy. Nothing in these Terms limits any right you have under the Consumer Protection Act, 2019.

6. Limitation of Liability

To the extent the law permits, ClauseFlow is not liable for any indirect, incidental, special, consequential or punitive loss, including loss of profits, data, goodwill or professional standing, arising from your use of or inability to use the service, and our total liability for any claim is limited to the amount you paid us in the three months before the claim arose. Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law.

7. Governing Law and Jurisdiction

These Terms are governed by the laws of India. Subject to the jurisdiction of the Consumer Commissions under the Consumer Protection Act, 2019, disputes arising from these Terms are subject to the exclusive jurisdiction of the competent courts at New Delhi.

9. Changes to Terms

We reserve the right to modify or replace these Terms at any time. We will provide notice of significant changes before they become effective. You will be prompted to explicitly consent to material changes upon logging into the platform.
